DESCRIPTION:Compliances & reporting for Companies have significantly increased under the Companies Act\, 2013. The Ministry of Corporate Affairs (“MCA”) has exempted the Private Companies and Section 8 Companies from certain compliances. A separate regime has also been introduced for the Small and Medium Entities and entrepreneurial ventures comprising the Small Companies and the One Person Companies (“OPC”). Related Party Transactions & Loans to Directors are also very common transactions for group companies for which compliances & reporting is an integral part. \nRecently\, it has also been observed that the Registrar of Companies (“RoC”) across the various jurisdictions are playing active role in adjudication of the Penalties for contravention of various provisions of the Act as far as Compliances are concerned.
